Terms and Conditions for Sunscape Solar Ltd
These Terms and Conditions (the “Terms”) govern your access to and use of the products and services provided by Sunscape Solar Ltd (the “Company”). By purchasing any products or services from the Company, you (“Customer”) acknowledge and agree to comply with these Terms. If you do not agree to these Terms, you must refrain from using our products and services.
1. Definitions
1.1. “Company” refers to Sunscape Solar Ltd, its employees, agents, affiliates, and subsidiaries.
1.2. “Customer” refers to any individual, business, or entity purchasing products or services from the Company.
1.3. “Products” refers to all solar equipment and related items sold by the Company.
1.4. “Services” refers to installation, maintenance, and other support services provided by the Company.
2. Acceptance of Terms
2.1. By purchasing products or services from the Company, the Customer agrees to these Terms in their entirety.
2.2. These Terms may be amended by the Company at any time, and continued use of the Company’s products or services constitutes acceptance of any amendments.
2.3. It is the Customer’s responsibility to review these Terms regularly.
3. Product Purchases
3.1. Pricing: All prices are listed in the local currency and are subject to applicable taxes, duties, and shipping fees. The Company reserves the right to update prices without prior notice.
3.2. Payment: Full payment must be received before the dispatch of any product unless otherwise agreed in writing.
3.3. Ownership: Ownership of products transfers to the Customer upon full payment and delivery.
3.4. Inspection Upon Delivery: The Customer is required to inspect products upon receipt and report any damage, defects, or discrepancies within 48 hours. Failure to do so will result in the assumption that the products were received in good condition.
4. Warranty
4.1. The Company provides a limited warranty for its products, which covers manufacturing defects during the warranty period specified in the product documentation.
4.2. Warranty claims must be submitted in writing, accompanied by proof of purchase, a description of the defect, and photographic or video evidence.
4.3. The warranty does not cover:
- Damage caused by improper installation or unauthorized modifications.
- Damage caused by misuse, accidents, power surges, natural disasters, or negligence.
- Cosmetic wear and tear.
4.4. The Company reserves the right to repair or replace defective products at its sole discretion.
5. Returns and Refunds
5.1. The Company does not accept returns or exchanges for non-damaged or non-defective products.
5.2. Refunds are only offered for products proven to be defective or damaged during transit and reported within the required timeframe.
5.3. The Customer bears the cost of returning products for warranty claims unless otherwise stated in writing.
5.4. Products damaged, misused, or altered by the Customer are ineligible for return, exchange, or refund.
6. Services
6.1. Installation: The Company may offer installation services for its products. It is the Customer’s responsibility to ensure the installation site is safe, prepared, and accessible.
6.2. Maintenance: Any maintenance or support services offered by the Company are limited to products purchased directly from the Company.
6.3. The Company is not liable for damages or losses resulting from improper installation by third parties or failure to adhere to installation guidelines.
7. Limitation of Liability
7.1. The Company is not liable for:
- Any indirect, incidental, or consequential damages.
- Loss of profits, data, or use resulting from the purchase, installation, or use of its products.
7.2. The Company’s total liability is limited to the purchase price of the product or service giving rise to the claim.
7.3. The Customer assumes full responsibility for ensuring proper use, handling, and maintenance of the products.
8. Intellectual Property
8.1. All content, trademarks, logos, and intellectual property associated with the Company are the exclusive property of Sunscape Solar Ltd.
8.2. The Customer is prohibited from copying, distributing, modifying, or using the Company’s intellectual property without prior written consent.
9. Force Majeure
9.1. The Company is not responsible for delays or failure to fulfill its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, labor strikes, or supply chain disruptions.
10. Indemnification
10.1. The Customer agrees to indemnify and hold the Company harmless from any claims, damages, or losses resulting from the misuse of the products or failure to comply with these Terms.
11. Governing Law and Dispute Resolution
11.1. These Terms are governed by the laws of Kenya.
11.2. Any disputes arising under these Terms shall first be resolved through good-faith negotiations. If negotiations fail, disputes will be resolved through binding arbitration in accordance with the rules of Kenya.
12. Termination of Agreement
12.1. The Company reserves the right to terminate any agreement with the Customer if the Customer breaches these Terms.
12.2. Upon termination, any outstanding payments or obligations shall become immediately due.

14. Final Provisions
14.1. These Terms represent the entire agreement between the Company and the Customer, superseding any prior agreements or understandings.
14.2. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
